Exhibit "A"

INVESTMENT MANAGEMENT/FINANCIAL PLANNING ACCOUNT

This form of management account provides for the continuous supervision and management of all capital assets, selecting from the many investment alternatives available, such as stocks, bonds, mutual funds, real estate, C.D.'s, annuities, trusts, and limited partnerships. The Client will receive quarterly or semi-annual Investment Reviews, which may include a year-end reconciliation statement and unlimited financial planning consultations with the Advisor, if desirable or appropriate.

The Advisor is compensated by means of a fee. The Annual Retainer will be based originally on a combination of the value of the assets to be managed, the complexity of the client's situation, and an estimate of time involved. It will be billed and paid quarterly. This fee will be in accordance with the following fee schedule. This fee shall not exceed the following fee schedule with a minimum annual fee of $4,000.00.

ADVISORY FEE SCHEDULE

The fees due and payable upon acceptance of Client's account by Advisor shall be an account origination fee of $500.00 and one quarter's fees that are non-refundable. For the purpose of calculating the quarterly fee, the first period will commence on the first day of the nearest month after the effective date of the agreement. Fees for partial quarters at commencement or termination of this agreement will be prorated. Remittance in the full amount of the fees shall either be collected by the custodian of Client's account by debiting Client's accounts, or Client may chose to pay said fees directly to Advisor.

This agreement will be considered to be renewed on its anniversary date unless re-negotiated or terminated in writing by the Client or Advisor as provided for in the attached agreement.
